"I Should Host: LX.TV 1stLook L.A." Contest

OFFICIAL RULES

May 17, 2008 - June 14, 2008

PRELIMINARY INFORMATION: No purchase necessary. A purchase will not improve chances of winning. Void outside the KNBC terrestrial geographic viewing area and where prohibited. The "I Should Host: LX.TV 1stLook L.A." Contest ("Contest") consists of a skill-based competition whereby eligible entrants compete to be declared the one Prize winner who will receive the opportunity to have all or portions of his/her Submission video (see below) included in broadcast(s) and/or in webcasts of the KNBC Television Show "1st Look L.A." ("Show") and, in addition, to be interviewed for a position to be a host on the Show. Entrants must submit a video ("Submission") in accordance with the terms and conditions of these Contest Rules. The Contest begins on May 17, 2008, at 7:30:01 p.m. Pacific Time ("PT") and ends on June 14, 2008, at 11:59:59 p.m. PT ("Contest Period"). All times in this Contest refer to Pacific Time. Participation in the Contest is subject at all times to compliance with these Contest rules and with all applicable federal, state and local laws.

TO ENTER: During the Contest Period, you may enter online by visiting www.lxtv.com/ishouldhost ("Contest Website"), which will automatically redirect to 1stlook.votigo.com ("Voting Website"), and on the entry page provide the Entry Information requested (defined below), and then physically submit your Submission by uploading your pre-recorded video according to the instructions on the Voting Website and in compliance with these Contest rules. The Submission video must not exceed two (2) minutes in length, and must be in one of the following formats: AVI, MPEG RM, MOV, MP4, FLV, OGG, MKV, M4V, or 3GP. No other formats will be accepted. Videos submitted must not exceed 100mb. By entering the Contest or Sweepstakes, entrant grants Sponsors the non-exclusive, royalty-free, and irrevocable rights to use, reproduce, copy, publish, display, distribute, perform, translate, adapt, modify, and otherwise exploit the Videos and to incorporate them in other works in any and all markets and media worldwide in perpetuity. Submission videos will not infringe on any rights of third parties, including, without limitation, copyright, trademark, defamation, privacy, or publicity, or create claims for false light, idea misappropriation, intentional or negligent infliction of emotional distress, or breach of contract. Any Submission videos containing material that is violent, pornographic, obscene, illegal, inappropriate, or racially or morally offensive or that does not meet Sponsors' standards for any reason, as determined by Sponsors in their sole discretion, may be rejected as ineligible for consideration. Entries must comply with all applicable laws, rules, and regulations. Entrant also warrants that he/she has obtained written permission when videotaping on private property not owned or controlled by entrant, where such permission is required. Upon request, you must provide Sponsors with signed releases from the persons appearing in the Submission video and/or the owners of any private property where you videotaped. If any person appearing in the Submission video is a minor, Entrant warrants that he/she has obtained written permission from such minor's parent or legal guardian to include such minor in the Submission video. Upon request, entrant must provide Sponsors with signed releases from the parents or legal guardians of all such minors. Sponsors shall have no obligation to copy, publish, display, or otherwise exploit the Submission video. For your entry into this Contest and your Submission to be valid, by clicking the appropriate check-boxes you must acknowledge reading, accepting, and agreeing to these Official Rules and also acknowledge reading, accepting, and agreeing to the Terms and Conditions of Submission to the "I Should Host: LX.TV 1stLook L.A." Contest ("Terms and Conditions of Submission") which are located on the Voting Website and which are incorporated herein by reference. All Entries including, without limitation, Submissions become the property of LX Networks LLC, ("Sponsor") and will not be acknowledged or returned. An entry consists of a Submission submitted by an eligible entrant along with his/her accurate and complete entry information that includes: First Name, Last Name, Address (no P.O. Boxes), City, State, Zip Code, Phone Number (including area code), and Email Address (collectively "Entry Information") ("Entry"). Limit one Entry per person. Entry and acceptance of a prize constitutes permission (except where prohibited by law) to use entrant's name, city, state, likeness, image, and/or voice for purposes of advertising, promotion, and publicity in all media as determined by Sponsor without additional compensation.

ELIGIBILITY: Open only to permanent, legal U.S. residents who are physically located in the KNBC terrestrial geographic viewing area ("Geographic Area") (the counties of Los Angeles, San Bernardino, Orange, Riverside, and Ventura in the state of California) and who are twenty-one (21) years of age or older as of May 17, 2008. Entrants must also the following additional eligibility requirements: (i) must not be subject to any employment or other agreement or arrangement (including, without limitation, a contract for management and/or talent representation, an acting contract, a modeling contract, a sponsorship contract, a merchandising agreement), which would interfere with their ability to accept an LX.TV host position or enter into any of the employment, assignments of rights and/or other agreements that Sponsor may require; (ii) entrant may not be, or intend to be within six (6) months from his/her date of Entry, a candidate for any public office, a professional performing artist, or a member of SAG, AFTRA, AGVA, Equity, or any other guild or union associated with the performing arts; and (iii) must have a valid social security number or a valid U.S. personal tax identification number. Officers, directors, and employees of Contest Entities, members of these persons' immediate families (spouses and/or parents, children, and siblings, and their spouses), and/or persons living in the same households as such persons (whether related or not) are ineligible to enter the Contest. Contest Entities, as referenced herein, shall include Sponsor, NBC Universal, Inc., KNBC, Sponsor's authorized designees, Contest administrator and their respective parent, subsidiary, and affiliate companies and administrative, advertising, and promotion agencies and any other entity involved in the development, administration, promotion, or implementation of the Contest.

JUDGING AND CRITERIA: The judging and voting of entrants' eligible Submissions will be based upon the following criteria ("Judging Criteria") each of which is of equal importance:

Performance - Entrant presents himself/herself enthusiastically and portrays an understanding of and enthusiasm for the content presented.
Credibility - Entrant speaks with conviction, self-assuredness and understanding of the content; displays poise and charisma; and forms a strong connection with the audience.
Articulation - Entrant demonstrates the ability to enunciate, pace, vocalize, and emphasize points effectively; speaks clearly (uses minimal conversational fillers such as "like", "you know", "um", "uh", etc.); presents content with a clear beginning, middle and end.
Quality of Presentation - Entrant manages the setting and recording of the presentation/performance without mistakes that could be deemed distracting by the viewer (shot framing, sound quality, editing style, etc.).

The decisions of the Sponsor and Sponsor's authorized designees are final and binding in all respects. If at any time during the Contest, a Submission and/or Contest entrant is found to be ineligible or otherwise does not comply with these Official Rules; such Submission and/or Contest entrant will be disqualified and removed from the Voting Website and/or the Contest Web Site, in Sponsor's sole discretion.

PUBLIC VOTING: Beginning not later than 12:00:01 a.m. PT on May 21, 2008 and ending at 11:59:59 p.m. PT on June 14, 2008 ("Public Voting Phase"), the eligible Submissions will be posted on the Voting Website for public voting based on the Judging Criteria. Voting Website users will be able to rate each of the eligible Submissions on a scale of 1-5. Voting Website users may vote for more than one video per day, but users may not vote more than once per day for the same video. Any attempt to vote other than as described herein shall be null and void. The ten (10) Submissions which rate the highest during the Public Voting Phase will be re-scored by Sponsor's authorized designees based upon the Judging Criteria as described above.

FINAL JUDGING: On or about June 21, 2008 a panel of judges ("Judging Panel") comprised of LX.TV producers, staff and/or Sponsor's authorized designees, will judge and score the TOP 3 FINALISTS ON A SPECIAL 1ST LOOK JUDGING EPISODE. THESE WILL BE THE TOP 3 CANDIDATESwhich, as determined by Sponsor, rate the highest during the Public Voting Phase in accordance with the Judging Criteria ("Final Judging"). the judges will use the same set of criteria that the prior rounds use as is written in the rules DURING THE SPECIAL EPISODE. THE TOP 3 FINALISTS MUST AGREE TO BE AVAIABLE FOR TAPING OF THE SHOW AND SIGN ANY APPLICABLE APPEARANCE WAIVERS, OTHERWISE THEY WILL BE DISQUALIFIED. The entrant with the highest Final Judging score, as determined by Sponsor, will be declared the potential winner. In case of any tie(s), the tied Entries will be re-scored by Judges selected by Sponsor using the criteria described above, until one winner is determined.

PRIZE: There will be one (1) Prize awarded from among all eligible entrants in the Contest ("Prize"). Prize consists of the opportunity for the Prize winner to have all or portions of his/her Submission video included in broadcast(s) and/or in webcasts of the Show and, in addition, to be interviewed for a position to be a host on the Show (host interview will not be broadcast). The Prize will also include the sum of five hundred dollars ($500) paid to the winner by check. The Approximate Retail Value of the Prize is $500. The portions of the Prize relating to the broadcast of the Submission video and to the host interview have no cash value. If Show is cancelled prior to or pre-empted prior to the broadcast of the Submission video and/or the host interview, the remaining element(s) of the Prize shall constitute full satisfaction of Sponsor's Prize obligation to the Prize winner and no additional compensation will be awarded. In connection with the broadcast of Submission video and/or the appearance by winner on Show, if any such appearance is requested by Sponsor in its sole discretion, Prize winner may be required to execute and return appearance releases and or such other documents as may be required by Sponsor in connection with the Show. These Official Rules and the Contest are neither a contract nor an application for or guarantee of employment, and no representation is made herein with respect to the likelihood that winner will be chosen as host of the Show. Any decisions regarding the hiring of winner to be host of the Show will be separate and independent from the judging of this Contest. All federal, state, and local laws and regulations apply. All taxes and other expenses, costs, or fees associated with the acceptance and/or use of Prize are the sole responsibility of Prize winner. Prize cannot be transferred by Prize winner or redeemed for cash and is valid only for the items detailed above, with no substitution of Prize by Prize winner. Prize consists only of the elements set forth above; no other elements (including, without limitation, ground transportation, insurance, gasoline, meals, gratuities, souvenirs, etc.) are included in Prize. Contest Documents will be mailed/shipped to a street address within the Geographic Area only. Contest administrator is not the supplier or guarantor of Prize.

NOTIFICATION OF WINNER: On or about June 19, 2008, Sponsor will make two (2) attempts within a twenty-four (24) hour period to notify the potential winner at the phone number submitted at the time of entry. Potential winner will be required to execute an Affidavit of Eligibility, a Liability Release, (where legal) a Publicity Release, an IRS Form W-9, and any other documentation Sponsor may require (collectively "Contest Documents"). The Contest Documents must be signed and returned (via shipping service pre-paid by Sponsor) to the Contest administrator (along with a legible copy of potential Prize winner's government issued photo I.D.) within two (2) days of receipt or potential Prize winner may be disqualified and an alternate potential Prize winner may be selected from the remaining eligible Submissions.

CONDITIONS: By entering this Contest, each entrant agrees for entrant and for entrant's heirs, executors, and administrators (a) to release and hold harmless Contest Entities and their respective officers, directors, and employees (collectively, "Released Parties") from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from such entrant's participation in this Contest and/or his/her acceptance, possession, use, or misuse of the prize, or any portion thereof; (b) to indemnify Sponsor from any and all liability resulting or arising from the Contest and to hereby acknowledge that Sponsor have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the prize; (c) if selected as Winner, to the posting of such entrant's name on www.lxtv.com, and www.votigo.com and the use by Released Parties of such name, voice, image, performance, and/or likeness for publicity, promotional, and advertising purposes without additional compensation, and, upon request, to the giving of consent, in writing, to such use; and (d) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in the Contest itself, and to be bound by all decisions of the Sponsor, whose decisions are binding and final. Failure to comply with these Official Rules including the Terms and Conditions of Submission may result in disqualification from this Contest. By entering the Contest, entrant agrees to waive any rights entrant may have to his/her Submission. Any Submission or portion thereof that is, in the Sponsor's sole discretion, obscene, profane, lewd, defamatory, contains any third party materials otherwise violates or infringes (or may infringe) any copyright, trademark, logo, mark that identifies a brand or other proprietary right of any person living or deceased (including but not limited to rights of privacy or publicity or portrayal in a false light) or entity, or is otherwise objectionable, will not be considered and will disqualify the Submission. Therefore, clothing worn in the photo should not contain any visible logos, drawings, cartoons, phrases, trademarks or other third-party materials. Entrants may not copy or otherwise plagiarize the Submission from any source. Sponsor has the sole discretion to determine whether a Submission qualifies as an entry. Submission must not contain any visual or audio references to alcoholic beverages, tobacco, drug paraphernalia, firearms, or any depiction or representation thereof, cannot contain or otherwise make available any unsolicited or unauthorized advertising, "commercial pitch," promotional materials, junk mail, spam, pyramid schemes, or any other form of solicitation, does not contain or transmit any materials that contain software viruses or other computer code, files or programs designed to impair, limit, interfere with or cause harm to any communications network operated by any of the Contest Entities or the computers of any individual or entity participating in or otherwise associated with this Contest. Any Submission not in compliance with the above and does not meet the Contest Website and/or Voting Website requirements will be disqualified. Entrants hereby represent and warrant that all Submission material is wholly original to and created by the entrant, and has not been copied in whole or in part from any other work and has not won any previous awards or competitions. Submission must be the entrant's exclusive work and does not infringe upon or otherwise violate the copyright, trademark, privacy, publicity or other proprietary rights of any third party. Entrant must have the full and exclusive right and authority necessary to upload and/or post the Submission in the Contest and to grant the rights to the Submission without permission from or payment to any third party. Entrant must meet all the eligibility requirements (defined above) and must have not engaged in any of the disqualifying activity set forth herein. Entrant agrees to the terms and conditions of the Voting Website. Normal Internet access and usage charges imposed by entrants' online service will apply. Entrants hereby grants the Released Parties the irrevocable, perpetual, worldwide right to use, reproduce, edit, market, store, distribute, have distributed, reproduce, re-arrange, change, add to or delete from, translate, adapt or otherwise revise and/or alter the Submission and or blur or distort the entrant/nominee or any place or item depicted in the Submission, or display thereof, publicly and privately display, communicate, publicly and privately perform, transmit, have transmitted, create derivative works based upon, and promote the Submission, for editorial, commercial, promotional and all other purposes. In addition, entrants hereby assign to the Sponsor all royalty-free, non-exclusive rights, titles, and interests that he may be deemed to have in any reproduction, product, or derivative work using or incorporating the Submission. Any Submission deemed in violation of the Official Rules, as determined by Sponsor in its sole discretion, will not be accepted and will be deemed ineligible to win a prize. The use, collection, and sharing of the Entry Information provided by each entrant as part of the entrant's Submission into the Contest will be governed at all times by these Contest Rules including the Terms and Conditions of Submission, the Sponsor's Privacy Policy and the Voting Website's Privacy Policy available at http://www.lxtv.com/ishouldhost and http://www.votigo.com/sections/privacy, respectively.

ADDITIONAL TERMS: Sponsors reserve the right to terminate this Contest or permanently disqualify from any promotion any person they believe has intentionally violated these Official Rules. Any attempt to deliberately damage the Contest or the operation thereof is unlawful and subject to legal action by Sponsors, who may seek damages to the fullest extent permitted by law. Sponsors reserve the right in their sole discretion to cancel or modify the Contest should any computer virus, malfunction, or other cause beyond their control corrupt the administration, security, or proper operation of the Contest. Notice of cancellation will be posted at www.lxtv.com/ishouldhost and www.votigo.com. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor (excepting compliance with applicable codes and regulations), or other force majeure event will not be considered a breach of these Official Rules. Released Parties assume no responsibility for any injury or damage to entrants' or to any other person's computer relating to or resulting from entering or downloading materials or software in connection with this Contest. Released Parties are not responsible for telecommunications, network, electronic, technical, or computer failures of any kind; for inaccurate transcription of entry information; for errors in any promotional or marketing materials or in these Official Rules; for any human or electronic error; or for entries that are stolen, misdirected, garbled, lost, late, damaged, or returned for postage due.

DISPUTES: THE Contest is governed by, and will be construed in accordance with, the laws of the State of New York, and the forum and venue for any dispute shall be in New York, New York. If THE controversy or claim is not otherwise resolved through direct discussions or mediation, the parties agree that it shall THEN be resolved by FINAL AND binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures or subsequent versions thereof ("JAMS Rules"). The JAMS Rules for selection of an arbitrator shall be followed, except that the arbitrator shall be an arbitrator experienced and licensed to practice law in new york. THE PARTIES AGREE THAT THE REMEDY FOR ANY CLAIM BROUGHT PURSUANT TO THESE OFFICIAL RULES SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY'S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.
